Software License Agreement

This Software License Agreement (the "License") governs your access to and use of the CXO India software, applications, APIs, and related services (collectively, the "Software"). By accessing or using the Software, you agree to be bound by this License. If you are entering into this License on behalf of an organization, you represent that you have authority to bind that organization.

1. License Grant

Subject to your continued compliance with this License and your active subscription, CXO India grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software solely for your internal business or professional purposes during the term of your subscription.

2. Scope and Seats

The Software is licensed, not sold. Your right to use the Software is tied to the plan, number of seats, and usage limits associated with your subscription. Access credentials are personal to each authorized user and may not be shared.

3. Restrictions

You shall not, and shall not permit any third party to:

  • Copy, modify, translate, or create derivative works of the Software;
  • Reverse engineer, decompile, or disassemble the Software, except where such restriction is prohibited by applicable law;
  • Rent, lease, lend, sell, sublicense, or otherwise commercially exploit the Software;
  • Circumvent or disable any security, rate-limiting, or access-control features;
  • Use automated means (scraping, bots) to extract data except via authorized APIs within their documented limits;
  • Use the Software to build a competing product or to benchmark for a competitor;
  • Remove or obscure any proprietary notices.

4. Ownership and Intellectual Property

The Software and all intellectual property rights therein are and remain the exclusive property of CXO India and its licensors. No rights are granted except as expressly set out in this License. All goodwill arising from use of CXO India trademarks inures to CXO India.

5. Your Content

You retain ownership of the content and data you submit. You grant CXO India a worldwide, royalty-free license to host, process, and display such content solely to provide and improve the Software, subject to our Privacy Policy and Data Processing terms.

6. Feedback

If you provide suggestions or feedback, you grant CXO India a perpetual, irrevocable, royalty-free license to use it without restriction or obligation to you.

7. Third-Party and Open-Source Components

The Software incorporates third-party and open-source components that are licensed under their own terms. Those terms govern your use of such components and, to the extent of any conflict, take precedence over this License with respect to those components. A list of such components is available on request.

8. Updates

CXO India may update, modify, or discontinue features of the Software at any time. New releases are provided under this License unless accompanied by separate terms.

9. Term and Termination

This License is effective until terminated. It terminates automatically if you breach any of its terms, or upon expiry or cancellation of your subscription. Upon termination you must cease all use of the Software. Sections relating to ownership, restrictions, disclaimers, and liability survive termination.

10. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CXO INDIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS OR DATA, ARISING FROM OR RELATED TO THE SOFTWARE. This section should be read together with the limitation of liability in our Terms of Service.

12. Governing Law

This License is governed by the laws applicable to your CXO India subscription as set out in the Terms of Service, without regard to conflict-of-laws principles.
